Hekima Terms of Service

1. Introduction and Agreement

Welcome to Hekima. These Terms of Service (the “Terms”) govern your access to and use of our website, applications, services, and features (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

3. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you have the legal capacity to form a binding contract with us and to comply with these Terms.

4. Your Account, Authentication & Access

A. Account Creation and Responsibility

If you create an account, you agree to:

  1. Provide accurate, current, and complete information.
  2. Maintain the security and confidentiality of your password and credentials.
  3. Accept full responsibility for all activities that occur under your account.

B. Google Sign-In and API Usage

We may allow account creation or login via third-party providers such as Google Sign‐In. If you use Google authentication or APIs, you consent to our accessing and using your Google account data strictly in accordance with these Terms and our Privacy Policy.

C. Termination and Suspension

We reserve the right to suspend or terminate accounts that are inactive or that we believe are in violation of these Terms or applicable law.

5. Use of the Services

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms and all applicable local, state, national, and international laws and regulations.

A. Prohibited Conduct

You must not:

  1. Use the Services in any way that violates the rights of third parties (including intellectual property rights).
  2. Attempt to gain unauthorized access to the Services, other accounts, or computer systems connected to the Services.
  3. Use the Services in a manner that harms or disrupts our systems, networks, or other users.
  4. Circumvent or attempt to circumvent any security, usage, or authentication measures.

B. Changes to the Services

We may change, suspend, or discontinue any aspect of the Services at any time, with or without prior notice. We will not be liable if, for any reason, the Services are unavailable at any time or for any period.

6. User Content & Intellectual Property

A. Your Content Ownership

You retain all ownership rights to the content you create, upload, publish, or display through Hekima (“User Content”).

B. License to Hekima

By posting User Content, you grant Hekima a limited, worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute your content solely for the purpose of operating, improving, and promoting the Services.

C. Respect for Other Users’ Content

You may not copy, download, reproduce, modify, share, sell, or otherwise use another user’s content without their explicit written permission. Any unauthorized use is prohibited and may result in immediate suspension or termination of your account.

D. Hekima’s Intellectual Property

All intellectual property rights in the Hekima platform, including our name, logo, brand, software, design, and underlying technology, are owned by or licensed to Hekima. You may not use these without our prior written consent.

E. Reporting Infringement

If you believe that your content has been copied in a manner that infringes your rights, please notify us immediately at projecthekima@gmail.com. We will promptly investigate and take appropriate action.

7. Data Access, APIs & Google Services Compliance

If you link your Google account or give access to Google APIs, you consent to our access and use of your Google account information in accordance with our Privacy Policy.

Mandatory Compliance with Google Policies:

  1. We use only the minimum necessary permissions (scopes) required to deliver the Services.
  2. We will never use Google user data for serving advertisements.
  3. We will never sell or transfer Google user data to third parties.
  4. You may revoke our access at any time through your Google account settings; however, revoking access may limit or terminate functionality of the Services.

8. Fees and Payments

A. Platform Fees

Hekima provides creators with tools and infrastructure to sell their digital products and services. In exchange, Hekima charges a platform fee, which is a percentage deducted from each completed sale. The exact percentage applicable at any given time will be clearly communicated on our website or creator dashboard.

B. Fee Changes

Hekima reserves the right to change the platform fee or introduce new fees at any time. Any material change in fees will be communicated in advance. Continued use of the Services after a fee change takes effect constitutes your acceptance of the new rates.

C. Payouts to Creators

After deducting applicable platform fees, payment processing fees, taxes, and any other agreed deductions, the remaining balance from each sale will be remitted to the creator’s designated payout account in accordance with our standard payout schedule.

D. Taxes and Compliance

Creators are responsible for determining and remitting any applicable taxes, levies, or duties arising from their sales. Hekima may withhold or remit taxes where required by law (e.g. VAT).

9. Termination of Services

A. Termination by Us

We may suspend or terminate your access at any time for violation of these Terms or applicable law.

B. Termination by You

You may terminate your account at any time by contacting us or using in-Service termination features.

C. Effect of Termination

Upon termination, we may delete your account and Content. Termination does not relieve you of outstanding financial obligations.

10. Disclaimers and Limitation of Liability

A. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, either express or implied. We specifically disclaim all warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee the Services will be uninterrupted, secure, or error-free.

B. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HEKIMA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY DIRECT DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) 200 USD.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Kenya, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved in the courts of Kenya, unless we mutually agree to mediation or arbitration. If you are a consumer in a jurisdiction that provides mandatory legal rights, nothing in these Terms limits those rights.

12. Changes to These Terms

We may revise these Terms at any time. If we make material changes, we will provide you with reasonable advance notice and update the “Last Updated” date. If you continue to use the Services after the revised Terms take effect, you agree to be bound by the changes.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and us regarding the Services, superseding any prior agreements or understandings.
